Job Description
Stacey Danley at Aplin has partnered with our Manitoba\-based client on the search for the newly created role of In\-House Legal Counsel. Reporting to the Head of Legal \& Compliance, this role is an opportunity to work within a growing legal team and collaborate cross\-functionally to build their compliance program and support the company’s growth, while effectively managing risk and ensuring ongoing legal compliance. The counsel will also support real property and construction matters, as well as commercial contracting, and corporate matters.

**Key Responsibilities**
* Monitor changes in applicable laws, regulations, and regulatory guidance; assess impact on the organization and advise stakeholders on required actions.
* Develop, implement, and maintain compliance programs, policies, and procedures to manage regulatory and operational risk effectively.
* Collaborate with internal stakeholders across departments to identify, assess, and manage legal and regulatory risks, and provide strategic advice on compliance matters.
* Monitor regulatory orders, notices, and decisions to assess their impact on operations and advise leadership accordingly.
* Develop and advance the organization’s regulatory strategy in key policy areas, working closely with legal, business, and finance colleagues to support the organization’s compliance, providing clear guidance and legal support to cross\-functional teams.
* Draft, review, and negotiate commercial contracts, including vendor contracts, construction contracts, NDAs, and customer contracts.
* Conduct legal research and analysis and prepare legal opinions.
* Support legal team with easements, subdivision requests, leases, and property acquisitions and liaise with external counsel, as needed.
* Oversee insurance requirements across the various organizational entities.
* Support general corporate and commercial matters.
**Skills \& Competencies**
* JD from an accredited law school.
* Bar membership in good standing in Manitoba.
* At least 3 years of relevant business law experience gained in private practice and/or within an in\-house legal department, with a focus on regulatory compliance and/or corporate/commercial.
* Additional experience with easements, municipal law, board governance, and/or ESG is an asset.
* Keen interest in regulatory policy, with the ability to translate emerging legal and policy developments into actionable strategic advice for business leaders.
* Ability to work autonomously, managing and adjusting priorities against quickly changing business needs.
* Sound knowledge of federal and provincial regulatory frameworks.
* Strong analytical skills, with the ability to interpret complex regulatory requirements and communicate them clearly to senior leadership and non\-legal stakeholders.
* Strong written and verbal communication skills with meticulous attention to detail in legal drafting and documentation.
* Sound judgment with the ability to manage ambiguity, make decisions under pressure, and escalate issues when appropriate.
* Excellent relationship management and stakeholder engagement skills, with the ability to work both independently and collaboratively.
* Demonstrated business acumen, creativity, and a learning\-oriented mindset, with a proven track record of delivering results in fast\-paced environments.
* Able to engage and interact effectively with sophisticated internal and external stakeholders at all levels, with a collaborative and professional style.
**Location**
Preference will be given to candidates based in Manitoba; however, remote flexibility is available for the right individual.
