Job Description
We are looking for a licensed attorney to join a leading IT software organization in Raleigh, North Carolina as part of a contract opportunity with permanent potential. This position focuses on overseeing the full contract lifecycle, from drafting and negotiation through execution, compliance, and renewal management. The ideal candidate brings strong commercial contracting experience, sound legal judgment, and the ability to partner effectively with business teams in a fast\-moving corporate environment. Responsibilities:
• Prepare, evaluate, and negotiate a range of commercial agreements, including software licensing terms, service contracts, nondisclosure agreements, and vendor documents.
• Partner with teams across sales, finance, procurement, and product functions to align contract language with business objectives and legal expectations.
• Administer the contract repository and tracking process to support organized documentation, renewal deadlines, and compliance monitoring.
• Advise internal stakeholders on contractual risk, legal exposure, and practical approaches to resolving agreement\-related issues.
• Review provisions involving intellectual property, confidentiality, privacy, data protection, and limitation of liability to support sound risk management.
• Monitor agreements for consistency with company standards as well as applicable laws and regulatory requirements.
• Research legal and regulatory developments affecting technology and software contracts and recommend updates when needed.
• Contribute to internal compliance reviews, audit support activities, and improvements to contract management procedures and workflows.
• Active license to practice law with state bar membership in good standing.
• At least 3 years of experience handling contract management responsibilities in a corporate legal or commercial setting.
• Proven ability to draft, revise, and negotiate commercial agreements, including technology\-related and vendor contracts.
• Experience working with contract lifecycle management systems or similar contract administration tools.
• Strong written and verbal communication skills with the ability to explain legal terms clearly to business partners.
• Excellent organizational skills and close attention to detail when managing multiple deadlines and priorities.
• Ability to work independently while also collaborating effectively in a fast\-paced environment.
• Familiarity with privacy and data security laws affecting software or SaaS businesses is preferred.
