About the Role
The Fund Attorney will support the legal function with a primary focus on U.S. and Cayman private funds. Working closely with internal business teams and external stakeholders, the role will involve advising on fund formation, regulatory matters, capital raising activities, investor relations, and ongoing fund operations.
This position offers broad exposure to both domestic and international private fund matters and the opportunity to contribute to the development and growth of a leading investment platform.
Key Responsibilities
- Draft, review, and negotiate a variety of agreements with fund managers, distribution partners, and other counterparties.
- Prepare and review private fund offering documents, partnership agreements, and related legal materials.
- Advise internal stakeholders on the legal and regulatory implications of new and existing products and services.
- Provide guidance on fund formation, structuring, marketing, and investor-related matters.
- Coordinate with external counsel on regulatory, corporate, and investment-related issues.
- Draft and review commercial agreements, confidentiality agreements, and other legal documentation.
- Support regulatory filings and conduct legal research on a range of investment management topics.
- Collaborate with cross-functional teams to deliver practical and commercially focused legal solutions.
Qualifications
- Juris Doctor (JD) from an accredited law school.
- Active bar membership in at least one U.S. jurisdiction.
- 4+ years of experience in investment management, with a focus on private funds and fund formation.
- Strong knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and applicable FINRA regulations.
- Experience advising on U.S. and Cayman private fund structures is preferred.
- Prior law firm experience or in-house experience within an asset management organization is advantageous.
- Strong drafting, negotiation, and analytical skills.
- Excellent interpersonal, communication, and stakeholder management abilities.
- Organized and detail-oriented, with the ability to manage complex matters while maintaining a strategic perspective.
