We represent business buyers and sellers in transactions between $1\-100m. We also provide those same clients **corporate, transactional** , and litigation advisory services. The firm has developed a strong reputation for high quality service, timeliness, and constructively closing transactions. We are well reputed in the space and have a growing network of HNWI clients. **Position** Of Counsel (Corporate \& Commercial Transactions) (Hourly; Part\-Time to grow into Full\-Time) **Responsibilities** * Draft, review, and negotiate **commercial agreements** (including but not limited to service agreements, vendor contracts, customer agreements, NDAs, PIIAs, SaaS service agreements, IP licensing / assignment agreements, employee handbooks, construction contracts) * Advise on corporate governance, entity formation, and SMB structuring matters (no need for complex billion dollar company structuring skills) * If you don't have a specific experience like construction contracts, then you need to be able to quickly learn that by using our precedents and forms * Support clients on day\-to\-day corporate and commercial legal issues * Provide practical, business\-focused legal advice to privately held companies and their owners **Qualifications** * Minimum 10 years of experience in corporate and commercial transactions * Prior experience at an Am Law 100 firm required * Strong drafting and negotiation skills * Ability to operate independently and deliver high\-quality, client\-ready work product * Experience advising founder\-owned and SMBs **Additional Information** * This role is structured as an hourly engagement rather than a salaried position. It is designed for a senior lawyer who values flexibility while maintaining exposure to high\-quality work and sophisticated clients. The firm expects the scope of work to expand as client demand continues to grow, but remains open to working with an attorney who also has his own book of business on the side.
