Legal Counsel: South African Mining Entity

**CLIENT: South Africa based global mining organization setting up base in India.** **Position Overview** **Provide comprehensive legal support to the company’s South African diversified operations, which include mining and manufacturing businesses.** **Key Responsibilities** **▪ Drafting, reviewing and negotiating Term Sheets,Purchase Agreements, Shareholder** **Agreements, Share Purchase Agreements, Trading Agreements, EPC contracts and O\&M contracts** **▪ Independently leading negotiations and successfully finalizing agreements with diverse vendors,** **reputable customers, and major brands** **▪ Drafting, reviewing and negotiation of other Agreements like NDA’s, Bank Guarantees, Lease** **Deeds, consultancy agreements, MOUs, ERPAs and other supply/service agreements** **▪ Coordinating and briefing with external counsels for legal opinions on matters on various issues of the Company.** **▪ Communicating and coordinating with the investors for various approvals, intimations, compliance as per the executed Investment Agreements** **▪ Advising the company on third party acquisitions, including structuring the transactions, working** **closely with outside counsel and reviewing transaction documents** **Incumbent profile:** * **Dedicated legal professional with around 7 years of experience in big EPC/Power/Infrastructure sectors having large complex contracts, specializing corporate and commercial law, contract drafting, reviewing, negotiation.** * **Proficient in managing legal frameworks for complex transactions, including M\&A and investor relations.** * **Experienced in delivering strategic legal advice on regulatory, transactional, and operational matters.** * **Exposure to international laws.** **ANNUAL COMPENSATION: 30\-35LPA** **Queries:** **Anoop Sinha, Director, PROFILE HR CONSULTANTS PVT LTD** **\** **Cell\-9773520069**
