Job Description
We are seeking a dedicated and experienced **Legal Counsel** to primarily be responsible for ensuring compliance with U.S. laws and regulations, supporting commercial operations through robust contract management, advising leadership on risk mitigation, and coordinating with external counsel. The position requires extensive experience in commercial contracts, regulatory compliance, and energy industry matters, specifically within the energy or industrial manufacturing sectors. **PVH \- PVHardware** is the third\-largest solar tracker supplier globally and is committed to becoming the industry leader. Our product range includes solar trackers, fixed structures, and SCADA systems designed for utility\-scale solar projects. **Key Responsibilities:** **Legal Advisory \& Commercial Contracts** * Draft, review, and negotiate a wide range of commercial agreements, including: * Supply and procurement contracts * EPC (Engineering, Procurement, and Construction) agreements * Service agreements, NDAs, and vendor contracts. * Provide legal counsel to executive leadership and operational teams regarding U.S. federal, state, and local laws. * Advise on legal risks associated with business operations, manufacturing, and commercial activities to ensure contractual protection and alignment with corporate policies. * Support on business decisions from a legal and compliance perspective. **Regulatory \& Compliance** * Ensure strict adherence to U.S. regulations applicable to the solar and manufacturing sectors, with a specialized focus on **Domestic Content** requirements and **Foreign Entity of Concern (FEOC)** regulations. * Monitor and interpret regulatory developments affecting renewable energy, manufacturing, environmental standards, and safety laws. * Coordinate with global legal teams on cross\-border legal matters and international corporate standards. * Assist with board documentation, corporate filings, and the development of internal policies. **Risk Management \& Disputes** * Identify and mitigate legal risks across U.S. operations. Manage disputes, claims, and potential litigation in coordination with external law firms. * Support internal investigations when necessary to ensure ethical compliance. * Manage relationships with outside law firms, oversee legal budgets, and ensure the cost\-effective use of external resources. **Qualifications:** **Education \& Licensure** * Juris Doctor (J.D.) or LLM: Required from an ABA\-accredited law school. * Bar Admission: Licensed to practice law in the United States (Texas Bar membership preferred). **Required Experience** * 8\+ years of legal experience (with a minimum of 6 years in a relevant specialized capacity). * Proven experience in the energy, renewables, engineering, construction, or manufacturing industries. * Expert\-level proficiency in commercial contracts and regulatory compliance. **Preferred Experience** * Direct experience in the solar energy or renewable energy sector. * Experience navigating international or "global\-matrix" corporate environments. * Specific experience with EPC or large\-scale infrastructure projects. **Skills \& Competencies** * Strong commercial and business judgment with a solution\-oriented mindset. * Excellent contract drafting and negotiation skills. * Ability to thrive in a fast\-paced, high\-pressure manufacturing environment. * Strong communication skills with the ability to interface effectively with executives and cross\-functional teams. * Strong ability to work effectively in a team, contributing to collaborative problem\-solving and shared goals. * Bilingual proficiency in English and Spanish is highly preferred. **Additional Requirements** * Ability to work closely with global teams and external counsel across different time zones. * Strong organizational, analytical, and problem\-solving skills. **Our Values:** * Committed, involved and responsible: We resolve our customer's problems as if they were our own. * Committed to excellence: We care for each other as well as the world we live in. * Humble but brave: Proud of who we are and what we do, without detracting from anyone. * Learning from experience: Experts in what we do, hungry for new challenges, entrepreneurial spirit. **PV Hardware** is proud to be an equal opportunity employer.
