Job Description
We have an exciting opportunity for a legal counsel with a keen interest in commercial law \& counter party diligence to join our friendly, collegiate and busy legal team at GCC, India. The legal associate will work with India legal team to support Essar Oil (UK) Limited and its subsidiaries business including India (‘EOUK Group’).
**Responsibilities**
You will work with experienced commercial lawyers within our in\-house legal team in India \& UK on a diverse range of corporate and commercial matters and projects. You will work independently on some matters (depending on the task and your experience) and/or support other lawyers with their projects as the need arises.
The successful candidate will advise, draft, negotiate, support and/or assist with:
**EPC \& Construction Contracting**
• Expertise in drafting and negotiating EPC, EPCM, construction, supply, services, O\&M, and subcontractor agreements.
• Reviewing and negotiating construction\-related documents including collateral warranties, guarantees, novation agreements, letters of reliance, framework agreements, letters of intent, technology licence agreements, NDAs, joint venture agreements, and teaming agreements.
• Drafting, reviewing, and negotiating term sheets, contract variations, T\&Cs, and other commercial agreements relevant to construction projects.
• Creating standard form procurement agreements with related processes, forms, and schedules to support construction works.
**Corporate \& Commercial Legal Matters**
• Arranging correct execution of contracts and related documentation by senior executives.
• Performing counterparty legal diligence and KYCs (both external and internal).
• Handling supply/purchasing agreements, confidentiality agreements, LOIs, MOUs, and other corporate commercial matters.
**Compliance, Governance \& Regulatory Oversight**
• Advising Essar on risk management and regulatory compliance for EPC and project operations.
• Corporate governance compliance including UK Companies Act 2006, health \& safety laws, data protection legislation, and the Modern Slavery Act.
• Rolling out, communicating, improving, and enforcing internal compliance frameworks and corporate approvals policies.
This is an excellent opportunity to join a large conglomerate for its Oil \& Gas business. This will help develop your understanding on various aspects of English law contracts for the purchase of goods and services. Additionally, it will provide you an opportunity to interact \& learn how other business functions works in a corporate environment and how you can effectively apply your legal skills and support business needs.
* Provide legal support to the various internal departments
* Work with other in\-house counsels and outside counsels, as required
* Negotiate and draft complex transactional agreements
* Taking preemptive measures to avoid legal risks and conflicts
**Qualifications**
* LL.B. from a recognized and reputable Indian university.
* 7\-9 Years of work experience
* Experience working in a UK‑based multinational is an advantage, though not required.
**Skills and Attributes**
* Strong interpersonal skills, negotiating skills and the ability to manage multiple interfaces with varying needs and priorities are critical to success in this position
* Organised and diligent
* Commercially minded with the drive to find and implement business process improvements and efficiencies wherever possible
* Comfortable and credible liaising at all levels within Essar
* Ability to takes ownership of multiple issues / projects and push them through to resolution, either project managing each issue to completion or contributing as part of a team
* Adaptable, willing to learn and develop new skills / knowledge outside of the typical job range
* Competence and skills to have an ability to work within teams and also to be self\-motivated and an ability to work alone
Ability to draft reports or convey complex information or concepts in a simply way to other stakeholders, in order to effectively influence the desired outcomes
