Job Description
**We are looking for a fighter. Not a cautious adviser. A fighter.** SafeBets is disrupting a $42 billion industry. Attacks are coming. We need someone who runs toward them. **THE CONTEXT** **SafeBets is the world’s first risk\-free prediction platform. Users predict the movement of publicly traded financial assets — crypto, equities, commodities, currencies — and earn real cash prizes for accuracy. No stake required. No user can lose money. The prizes come from market inefficiencies, not from other users’ losses. This is not gambling. This is a fundamentally different economic architecture.** **Polymarket and Kalshi — the two dominant prediction market platforms — are banned or severely restricted in 85\+ countries because their zero\-sum model requires users to lose money. Arizona filed 20 criminal charges against Kalshi in March 2026\. The federal government is currently suing three states over jurisdiction. The prediction market regulatory war is active, expensive, and getting worse for our competitors.** **SafeBets does not have that problem — by design. Our positive\-sum architecture means no gambling classification, no regulatory wall, and access to 135\+ countries where our competitors cannot legally operate.** **But disrupting a $42 billion industry does not happen without resistance. The attacks will come — from competitors who feel threatened, from regulators who do not yet understand the distinction, from incumbents who would prefer the category remain closed, and from bad actors who see a fast\-growing platform as a target. We know this. We are prepared for it. What we need is a lawyer who is prepared to fight back.** **THE ROLE** **The General Counsel of SafeBets is not a compliance officer in a suit. This is the company’s chief legal strategist, its most aggressive defender, and one of its most important public voices on the structural legal argument that makes SafeBets possible.** **You will report directly to the Founder \& CEO. You will be part of the founding leadership team. You will own every legal matter that touches the company — regulatory, corporate, commercial, intellectual property, employment, and litigation. And when the fights come — because they will — you will be the person who decides how to engage them, and who leads SafeBets into battle.** **This role requires someone who has argued in court, faced regulators across a table, navigated hostile legal environments, and won. Not someone who has reviewed contracts and advised clients to avoid risk. Risk cannot be avoided when you are building something genuinely new. It can only be managed, mitigated, and where necessary, confronted directly.** **!** **This role is not for lawyers who prefer quiet. The prediction market industry is in active legal conflict with regulators at the state and federal level. SafeBets will face legal challenges. The General Counsel must be the kind of person who reads about those challenges and thinks: “Good. Let’s go.”** **WHAT YOU WILL OWN** **The Legal Architecture Argument** **SafeBets’ entire competitive moat rests on the legal argument that a positive\-sum prediction model is not gambling. You must understand this argument at every level — statutory, regulatory, constitutional, and case law — and be prepared to advance it in any forum: a state attorney general’s office, a federal court, a congressional hearing, a press interview, or a regulatory consultation. You are not just the company’s lawyer on this argument. You are one of its most important advocates.** –   Own and continuously develop the legal memoranda that articulate the positive\-sum / not\-gambling argument across all jurisdictions –   Monitor the SafeBets v. regulators landscape in real time — every Kalshi and Polymarket enforcement action is intelligence about how SafeBets’ own legal architecture will be tested –   Develop proactive regulatory engagement strategies in priority markets before enforcement actions arise –   Advise the CEO and Board on legal risk in real time, with honest assessments and decisive recommendations **Regulatory Defence \& Offensive Strategy** **When regulators come — and some will, because SafeBets is new and novel and operating in a space that regulators are actively scrutinising — the General Counsel decides the strategy. Engage proactively or wait? Litigate aggressively or seek accommodation? Challenge the regulator’s jurisdiction or accept it? These are decisions that require legal sophistication, strategic judgment, and the courage to recommend a path that may be uncomfortable.** –   Build relationships with CFTC, SEC, and state regulatory staff before any enforcement action requires it –   Develop state\-by\-state legal analysis of SafeBets’ operating status and proactively address jurisdictions where the legal position is unclear –   Manage outside counsel relationships across multiple jurisdictions, including criminal defence counsel in states where regulatory positions are most aggressive –   When litigation is necessary, drive it — select outside counsel, set litigation strategy, manage the process, and communicate outcomes to the Board and investors **Securities Law \& Fundraising Compliance** **SafeBets is raising under Regulation D 506(c). The offering is public\-facing, involves general solicitation, and requires accredited investor verification for every investor. The Unicoin token and its relationship to the SafeBets equity offering require careful navigation of SEC securities law, CFTC jurisdiction questions, and state Blue Sky requirements.** –   Own the Reg D 506(c) compliance programme: Form D filings, Blue Sky state filings, accredited investor verification, PPM review and updates –   Advise on all investor communications for securities law compliance, including LinkedIn campaigns, conference presentations, and press interviews –   Navigate the Unicoin token’s regulatory status — ensuring it is correctly characterised as a utility token / platform reward rather than a security in all jurisdictions where the platform operates –   Manage the company’s relationship with the SEC on all matters, including the history of prior regulatory engagement under the previous administration and the current administration’s reversed enforcement posture –   Advise on broker\-dealer registration requirements and ensure all compensation structures for investor outreach comply with Section 15(a) of the Securities Exchange Act **Commercial \& Corporate Law** –   Draft and negotiate all material commercial agreements: visibility\-for\-equity deals, institutional data licensing agreements, influencer equity partnerships, production company agreements for The Oracle show –   Structure and document equity compensation arrangements for employees, advisors, country representatives, and equity\-for\-services partners –   Own the company’s cap table management, shareholder agreements, and corporate governance framework –   Advise on international corporate structure as SafeBets expands into India, UAE, Nigeria, and other priority markets –   Manage intellectual property portfolio: trademarks, platform IP, oracle programme methodology, The Oracle show format **Employment \& Contractor Law** –   Structure employment agreements for all senior hires across US and international jurisdictions –   Advise on equity compensation, vesting schedules, and option pool management –   Manage contractor and advisory agreements with appropriate IP assignment and non\-compete provisions –   Ensure compliance with employment law across all states where SafeBets has employees or contractors.
