Corporate Legal Counsel

**The Opportunity:** TrueCar is looking for an experienced Corporate Counsel to join the company’s Legal team. The Corporate Counsel will collaborate directly with senior members of the Legal department to develop creative solutions and manage risk. The ideal candidate will enjoy the autonomy that comes from taking a lead role in reviewing, drafting, and negotiating a wide variety of commercial agreements to support TrueCar’s business, and will additionally assist the business with other discrete projects, as needed. **This is a hybrid role that will require as\-needed in\-office work at our Santa Monica, CA headquarters.** **How you’ll drive TrueCar’s success:** * Negotiate, draft, and review company contracts, including partner, OEM, non\-disclosure, data license, SaaS, IT, advertising technology, commercial lease, vendor agreements, consulting agreements, and other agreements * Maintain organized form agreements and work with outside counsel, periodically, to develop new or update existing forms in response to business needs * Assess risks and advise management on matters involving data use and protection, and compliance with state and federal privacy laws, including the CCPA, and ensure that TrueCar’s data practices are consistent with applicable law * Handle HR, employment, and benefits, working with outside counsel as necessary * Manage litigation matters, including overseeing outside counsel and coordinating discovery * Coordinate between management and outside counsel in overseeing real estate matters * Develop and implement certain internal business policies and programs (such as related to privacy, regulatory and document retention) and manage and ensure internal compliance with such policies, applicable laws and regulations * Advise company employees and stakeholders on legal issues and risks, regarding general commercial matters, company policies, marketing, advertising, and business strategy * Cultivate strong relationships with internal and external business partners * Support and liaise with other departments, including Product, Technology, Accounting, Finance, and Dealer, to spot and resolve issues * Aid leadership in the comprehension of legal documents * Manage multiple priorities effectively in a fast\-paced, start\-up\-like environment **Your Expertise:** * J.D. with excellent academic credentials from an accredited law school * Admitted to the California state bar or eligible for Registered In\-House Counsel designation * Proven experience practicing law at a top\-tier law firm or in\-house transactional experience with an internet or technology company * Experience drafting, negotiating, and advising clients on complex commercial contracts and transactions such as vendor contracts, SaaS, cloud services, software licensing, professional services, product development, compliance, and content/data and procurement agreements * Ability to identify and resolve legal issues and communicate effectively with all levels of the organization * Outstanding legal and business judgment; ability to assess and anticipate risks * Strong work ethic and ability to work independently with limited supervision, while also knowing when to engage with other members of the legal team or company stakeholders At TrueCar, we believe in the power of diversity to create a deeper understanding of our consumers and partners, driving innovation in our products.
