**Job Summary \-**
Cropin is looking for an experienced Legal Counsel \& Company Secretary to lead corporate legal, governance, and secretarial responsibilities for a fast\-scaling global agri\-tech company. This role will partner closely with leadership across Finance, Legal, Treasury, Investor Relations, People, and business teams to build strong legal foundations, ensure robust corporate governance, manage statutory compliance, and enable business growth with speed and sound judgment.
The role is ideal for a qualified legal and company secretarial professional who can collaborate and partner with the functional teams and apply operational rigor, and who is excited to contribute to a purpose\-led, high\-growth technology business transforming global food systems.
**Principal Responsibilities \-**
* Lead end\-to\-end corporate secretarial activities, including board meetings, committee meetings, shareholder meetings, agenda planning, notices, minutes, resolutions, statutory registers, annual filings, and maintenance of corporate records.
* Ensure compliance with the Companies Act, SEBI\-related requirements as applicable, FEMA, and other corporate, commercial, and governance regulations relevant to private companies with international investors and cross\-border business activities.
* Serve as the governance anchor for board and shareholder matters, including implementation of governance protocols, action tracking, approvals matrix management, and compliance calendars.
* Support fundraising, investment, restructuring, ESOP, and other strategic transactions by coordinating legal documentation, secretarial actions, approvals, closing deliverables, and post\-closing compliances.
* Draft, review, negotiate, and manage a broad range of agreements, including customer contracts, vendor agreements, partnership agreements, NDAs, technology contracts, SaaS agreements, employment\-related documentation, and other commercial contracts.
* Advise business, finance, HR, and leadership teams on legal, contractual, regulatory, and risk\-related matters in a practical and solutions\-oriented manner.
* Manage legal entity compliance, secretarial audits, corporate housekeeping, authority frameworks, and interactions with external counsel, consultants, and regulatory bodies.
* Support policy development and implementation in areas such as governance, ethics, delegation of authority, compliance, data protection, and documentation controls.
* Monitor regulatory changes and assess implications for the company’s operations, contracts, governance structure, and international business footprint.
* Assist with dispute management, pre\-litigation strategy, notices, and coordination with external litigators when required.
* Work closely with the CFO’s office, which oversees Legal, Secretarial, and Investor Relations at Cropin, to support high\-quality execution on governance and legal priorities.
**Best Fit Profile \-**
* Qualified Company Secretary (ACS/FCS) with LLB from a recognized institution; additional legal or compliance certifications are an advantage.
* 7–10 years of relevant experience in corporate legal and company secretarial roles, preferably in high\-growth technology, SaaS, venture\-backed, or multinational environments.
* Prior experience in technology, SaaS, agritech, or digital platform businesses will be valuable, not essential.
* Experience in a private equity or venture\-backed company with institutional investors.
* Strong working knowledge of company law, board governance, secretarial standards, FEMA, contract law, corporate structuring, and regulatory compliance.
* Demonstrated experience supporting board processes, investor documentation, fundraising, cap table or ESOP\-related actions, and multi\-stakeholder approvals.
* Ability to independently draft and negotiate commercial contracts with attention to legal risk and business practicality.
* Excellent judgment, discretion, communication skills, and stakeholder management capability.
* High ownership mindset, attention to detail, and ability to manage multiple priorities in a fast\-paced environment.
* Comfort working cross\-functionally with finance, people, business, and leadership teams in a collaborative and evolving setup.
* Exposure to international contracting, data/privacy considerations, and cross\-border regulatory matters.
* Familiarity with ESOP administration, transaction closings, and post\-investment compliance.
* Well\-versed in working with MS Office or Google Workspace.
