**Title: Senior Legal Counsel**
**Location: Hebbal, Bengaluru, KA**
**Key responsibilities**
M\&A and strategic transactions (in‑house vantage point)
Lead legal workstreams on acquisitions, investments, joint ventures and internal restructurings – from term sheets and diligence scoping through to definitive documentation, collaboration with key stakeholders and post‑closing integration.
**Transactional and commercial contracting**
Draft, review and negotiate strategic customer, vendor and partner contracts including long‑term MSAs, SOWs, complex supply, manufacturing and technology/IP arrangements and other operational documents that underpin new products, facilities and global programmes.
1. Develop and maintain playbooks, fallback positions and templates that enable the business to contract at speed without compromising on core risk principles.
* Litigation and disputes management
1. Manage a portfolio of commercial, regulatory and employment disputes, including strategy, selection and instruction of counsel, documentation and evidence preparation.
2. Drive a disciplined approach to litigation risk through early case assessment, documentation hygiene, provisioning and regular reporting on exposure and likely outcomes.
3. Where appropriate, lead or support alternative dispute resolution (mediation, arbitration) with a view to protecting commercial relationships while managing downside.
**Employee engagement, employment and people‑related matters**
Advise HR and business leaders on employment and labour law issues, including hiring and exits, disciplinary actions, policy design and implementation, and internal investigations.
Support the design and roll‑out of employee policies, the POSH framework, code of conduct and whistle‑blower mechanisms, with an emphasis on clarity, fairness and enforceability in practice.
Partner with HR on trainings and communication so that employees understand how policies apply in their day‑to‑day work.
**Governance, processes and stakeholder management**
Help build scalable legal processes, with the contract lifecycle management platform as the operational spine for contract approval workflows, matter tracking and playbook/knowledge management.
Provide clear, solutions‑oriented advice to senior stakeholders, balancing compliance and risk with commercial objectives.
Contribute legal inputs to board and committee materials on transactions, disputes and key risk issues, as required.
**What we are looking for**
8–10 years’ post‑qualification experience, with a solid grounding in corporate/M\&A and commercial transactions; a mix of top‑tier law firm and in‑house experience is preferred but not mandatory.
Demonstrated ability to run transaction workstreams from the client side, including diligence, documentation, closing and post‑closing matters.
Hands‑on experience in managing litigation and disputes, including instructing counsel, engaging on strategy and participating in settlement discussions.
Comfort working on employment and HR‑facing matters (policies, investigations, disciplinary cases and engagement initiatives).
Strong drafting and negotiation skills, sound commercial judgment and the ability to communicate complex issues clearly.
High ownership mindset, resilience under time pressure and a genuine interest in how the business operates.
