We are seeking assisting a leading Law firm specializing in private equity, real estate, and other alternative investment strategies. We are seeking a skilled and motivated Private Investment Fund Lawyer and / or Financial Regulations Lawyer to join their dynamic legal team. This is an exciting opportunity for a highly driven legal professional to work with high\-profile clients and make a significant impact on the firm’s investment strategies. Must be 5yrs \+ bar admitted or after LLM **Key Responsibilities:** * **Fund Formation \& Structuring:** Provide expert legal advice on the formation and structuring of private investment funds, including private equity, hedge funds, and venture capital funds. * **Regulatory Compliance:** Ensure compliance with relevant local and international regulations, including securities law and investment regulations such as the Investment Advisers Act, AIFMD, and FATCA. * **Financial Regulations** * **Investor Relations:** Draft, negotiate, and review investor agreements, subscription documents, and side letters for institutional and high\-net\-worth investors. * **M\&A \& Investment Transactions:** Provide legal support for M\&A transactions, fund investments, and other strategic initiatives. * **Due Diligence:** Conduct legal due diligence on potential fund investments and acquisitions, including drafting and reviewing documentation and legal opinions. * **Ongoing Fund Maintenance:** Advise on matters related to fund governance, regulatory filings, reporting, and other operational matters for the funds. * **Risk Management:** Identify legal risks and propose solutions to mitigate risks related to fund operations and investment transactions.
