Job Description
Our client, a technology company in New York City is looking for a
**Mergers \& Acquisitions Attorney**
with
**3\-5 years**
of big law experience. The attorney in this position will support strategic growth initiatives. This role will lead and support acquisitions, investments, divestitures, and strategic partnerships while working closely with executive leadership, finance, corporate development, and product teams.
**Key Responsibilities**
* Lead and manage the legal aspects of
**M\&A transactions**
, including acquisitions, mergers, asset purchases, joint ventures, and strategic investments.
* Draft, review, and negotiate transaction documents such as:
* Letters of intent (LOIs)
* Purchase agreements
* Disclosure schedules
* Ancillary agreements (transition services agreements, employment agreements, earn\-outs, etc.)
* Partner with
**corporate development and finance teams**
to structure transactions and assess legal risk.
* Advise leadership on
**transaction strategy, deal structuring, and risk mitigation**
.
* Manage relationships with
**external counsel and advisors**
during transactions.
**Qualifications**
**Education**
* Juris Doctor (JD) from an accredited law school
* Admitted to the New York Bar
**Experience**
* 3\-5 years of legal experience with significant
**M\&A transaction experience**
* Experience at a
**big law firm**
preferred
