We are seeking a highly experienced and proactive Senior Legal Counsel to be the cornerstone of our legal and compliance function in the United States. Based in Texas, you will be the primary legal advisor for our US subsidiary, ensuring full compliance with federal and state laws while providing strategic counsel on a wide range of commercial and operational matters. This role is critical for supporting our core business of supplying essential electrical components and requires a seasoned professional who can navigate complex industry\-specific regulations and contracts. **Main Responsibilities** **Legal Advisory \& Contract Management** * Draft, review, negotiate, and manage a broad portfolio of sophisticated commercial agreements, including master service agreements, supplier and vendor contracts, distribution and channel partner agreements, NDAs, and procurement contracts. * Provide strategic, risk\-aware legal guidance to sales, procurement, and operational teams to facilitate business objectives while protecting the company's interests. **Regulatory \& Compliance Program** * Monitor, interpret, and ensure compliance with federal and state laws and regulations applicable to a multinational manufacturing corporation. * Develop, implement, and oversee effective compliance programs and policies, including ethics and anti\-corruption training. * Manage the company's litigation portfolio and dispute resolution processes; strategically select and manage external counsel to achieve favorable outcomes. **Employment \& Labor** * Advise HR on Texas Labor Code, NLRA, OSHA, Title VII, ADA, wage\-and\-hour, and contingent\-worker rules. * Draft executive offer letters, separation agreements, and conduct internal investigations when required. **Corporate Governance** * Act as corporate secretary for Texas entity; draft board resolutions, minutes, and powers of attorney. * Maintain good standing with Texas Secretary of State and file annual franchise\-tax reports. **Dispute resolution work (litigation or arbitration)** * Case management and coordination * Participation in the legal proceedings **Regular reporting and communication with Chint Headquarter** **Qualifications \+ Requirements** * Ability to work independently in a dynamic environment, managing multiple priorities with a high sense of urgency and professionalism. * Superior written and verbal communication skills, with the ability to explain complex legal concepts to engineers, sales teams, and executives clearly and persuasively. * A pragmatic problem\-solver who anticipates issues and provides practical, risk\-balanced solutions that support business objectives. * Unquestionable ethics and professionalism, with the ability to handle sensitive and confidential information. * Ability to build strong, trusted advisor relationships with colleagues at all levels, both locally and across different cultures and time zones. *Work Experience:* * More than 5\-8 years’ PQE, proven track record in negotiating and drafting complex commercial agreements. * Demonstrable expertise in managing regulatory compliance and litigation for a corporate entity. Preferably in mix of respected law\-firm training and in\-house counsel roles, or experience in a multinational manufacturing, industrial, or engineering\-focused company. * Knowledge of the PV industry * Work Experience (Nice to have): * Years of Experience: * Desired business or companies: A combination of law firm and in\-house experience is highly desirable.
