Legal Counsel 1

**Location:** Bengaluru **Experience:** 2\-4 years **Team:** Legal \& Compliance **Reports to:** GC / Senior Legal Counsel **Role Snapshot** As Legal Counsel I, you will operate as a high\-ownership individual contributor supporting HyperVerge’s identity AI and HyperStart CLM businesses. The role combines commercial contracting, first\-line negotiations, product advisory support, and legal operations execution. You will independently drive standard SaaS contracting, partner with business teams, and contribute to AI\-driven legal automation initiatives that improve velocity and scale. **What You’ll Do** **Commercial Contracting \& Negotiations** * Draft, review, negotiate, and close NDAs, MSAs, SOWs, Order Forms, DPAs, and partner agreements * Independently handle standard enterprise SaaS negotiations and escalate edge\-case risks * Apply approved fallback positions and playbooks to accelerate deal closure * Identify legal, commercial, and operational risks and propose pragmatic solutions * Ensure alignment between commercial proposals, scope, and legal documents **Pod Ownership \& Business Partnering** * Act as legal point of contact for one or more business pods (Sales/Product/Strategy) * Support deal structuring, pricing constructs, and commercial models * Provide quick\-turn advisory on day\-to\-day business questions * Balance risk management with business velocity **Data Privacy \& Compliance Support** * Support operational implementation of DPDP and global privacy expectations * Assist with customer diligence responses and compliance questionnaires * Maintain compliance trackers and documentation * Support audit readiness and policy implementation **Product \& Partnership Advisory** * Review product features (PRDs), integrations, and partnership structures * Translate regulatory requirements into practical product guardrails * Flag AI, data usage, and cross\-border data risks early **Legal Operations \& AI / CLM Initiatives** * Manage legal intake and contracting pipeline for assigned deals/pods * Maintain templates, clause libraries, and fallback positions * Identify repeatable workflows and automate through HyperStart CLM * Contribute to team\-wide AI initiatives to improve drafting, review, and risk spotting * Track turnaround times and improve contracting efficiency **What Great Looks Like (Milestones)** **Month 1** * Gain familiarity with HyperVerge products, templates, and negotiation playbooks * Independently handle NDAs and standard Order Forms * Build working relationships with Sales, Product, Security, and Finance **Month 3** * Independently negotiate and close standard MSAs and DPAs * Support one business pod as legal partner * Identify process improvements in contracting lifecycle **Month 6** * Handle majority of day\-to\-day contracting autonomously * Reduce turnaround time using playbooks and AI\-assisted review * Implement at least one automation / CLM improvement **Must\-Have Qualifications** * 3–6 years’ experience in TMT, fintech, or general corporate law (law firm or in\-house). * Hands\-on experience with commercial SaaS contracting. * Working familiarity with DPDP, GDPR, or CCPA frameworks. * Strong understanding of SaaS models, IP, and open\-source licensing. * LL.B. required (LL.M. or privacy certification is a plus). * Strong drafting ability and calm, solution\-oriented negotiation style. **You’ll Thrive Here If You** * Combine technical curiosity with contract rigor. * Look for ways to automate repetitive work and scale legal processes. * Enjoy solving unstructured problems and thrive in a high learning and dynamic environment. * Care about clarity, ownership, and measurable impact.
