Legal and Compliance Counsel

We are looking for a highly skilled Transactional Lawyer to join a dynamic and fast\-paced organization in the UAE. This role is ideal for a legal professional with strong expertise in corporate transactions, contract negotiation, and compliance, who is keen to work on high\-value and complex deals. **Key Responsibilities:** * Draft, review, and negotiate complex transactional documents, including joint venture agreements, shareholder agreements, and commercial contracts. * Provide strategic legal advice on corporate and commercial transactions while mitigating legal risks. * Support M\&A activities, corporate structuring, and business expansion initiatives. * Ensure compliance with UAE laws and international best practices. * Develop and implement compliance frameworks (Whistleblowing, Code of Conduct, Conflict of Interest, etc.). * Collaborate with internal stakeholders and external counsel to drive successful deal execution. * Conduct legal research and support policy development and governance initiatives. **Requirements:** * 8\+ years of legal experience, with minimum 5 years in the UAE. * Common law qualification / Western education is mandatory. * Strong background in corporate law, commercial contracts, and transactional work. * Experience with top\-tier law firms or reputable in\-house environments preferred. * Fluent in English (native or equivalent); Arabic is a strong advantage. * Proven expertise in drafting and negotiating high\-value agreements. **Key Skills:** * Exceptional drafting \& negotiation skills. * Strong analytical and problem\-solving ability. * Ability to manage multiple high\-priority transactions in a fast\-paced environment. * Excellent stakeholder management and communication skills.
