Job Description
We are seeking a proactive and motivated Junior Legal Counsel based in Umeå, Sweden, to join our Swedish office and work in collaboration with CGNEE Group Legal and Compliance Department. The role focuses on corporate governance, contract management, and regulatory compliance within Sweden. The successful candidate will support the implementation of corporate governance practices, assist with managing legal agreements, and provide advice on legal matters to ensure compliance and mitigate risks. **Key Responsibilities** **Corporate governance support:** * Assist in maintaining corporate records, board resolutions, and shareholder meeting documentation for Swedish entities. Updating corporate information for Swedish companies on Bolagsverket, the Swedish Companies Registration Office website (change of director, change of address, change of articles of association, etc.). * Support the development and implementation of corporate governance policies to ensure compliance with Swedish and EU regulations. * Collaborate with internal and external stakeholders to ensure adherence to governance requirements. **Contract management:** * Support in review, draft, and negotiate a variety of contracts, including service agreements, NDAs, and supplier contracts. * Support the management of the contract lifecycle, ensuring timely execution and compliance with company policies. * Address contract\-related queries and assist in resolving disputes. **Legal compliance and risk management:** * Conduct initial risk assessments for contracts and propose solutions to mitigate legal exposure. * Monitor compliance with Swedish corporate and governance laws, as well as relevant EU regulations/directives. * Assist in the preparation of regular audits of governance processes and contracts. **Stakeholder engagement :** * Liaise with external legal counsel, governmental authorities, and business partners as needed. * Build strong relationships with internal teams, including procurement, operations, and finance, to support business objectives. * Maintain good relationships with government authorities regarding regulatory issues. **Candidate Profile** **Qualifications** * **Education:** Bachelor’s or Master’s degree in **Law** (specialization in Corporate Law or Governance is highly preferred). * **Experience:** **2–5 years** of experience in legal roles, ideally with exposure to corporate governance. * **Environment:** Previous experience in multinational or highly regulated environments is a significant advantage. * **Industry:** Experience in the **renewable energy sector** is desirable. **Technical \& Interpersonal Skills** * **Governance Expertise:** Familiarity with **Bolagsverket** filing procedures and Swedish/EU regulatory compliance. * **Contractual Competence:** Solid knowledge of contract management and legal risk assessment. * **Mindset:** Analytical thinker with high attention to detail and strong problem\-solving abilities. **Language** * **English:** Mandatory \- Fluent * **Swedish:** Mandatory \- Professional Working Proficiency * **Chinese:** Not Mandatory \- Professional Advantage
