Job Description
**Department:** Legal**Reports to:** CEO **Role Overview** Cogneesol is seeking a **Corporate Counsel – Commercial Contracting** to support the company’s growing global services business. The role will be responsible for **structuring, drafting, reviewing, and negotiating client and partner contracts** across BPM, consulting, and technology\-enabled services. This position sits at the intersection of **sales, delivery, and legal**, ensuring that deals are **commercially viable, legally sound, and operationally executable**. The ideal candidate understands the **commercial dynamics of services businesses**, not just the legal language of contracts. **Key Responsibilities****1\. Commercial Contracting*** + Draft, review, and negotiate **Master Service Agreements (MSAs)**, **Statements of Work (SOWs)**, **NDAs**, and **change orders** + Support contracting for **services, technology partnerships, consulting engagements, and outsourcing agreements** + Ensure contracts align with **Cogneesol’s commercial policies and risk appetite** **2\. Sales Deal Support*** + Work closely with **Sales, Solution Leads, and Delivery teams** during deal structuring + Identify **legal and commercial risks early in the sales cycle** + Provide guidance on **pricing structures, liability caps, indemnities, and service commitments** **3\. Risk Management*** + Develop and maintain **standard contract templates and playbooks** + Establish **contracting guardrails and fallback clauses** + Review **non\-standard client terms and procurement templates** **4\. Partner \& Vendor Agreements*** + Structure agreements with **technology partners, consulting partners, and subcontractors** + Support **teaming agreements, reseller agreements, and referral partnerships** **5\. Governance \& Compliance*** + Ensure contracts comply with relevant **international regulations (GDPR, data protection, outsourcing regulations)** + Maintain contract repository and support **contract lifecycle management** + Support internal compliance on **IP protection, confidentiality, and data security obligations** **6\. Cross\-functional Collaboration** Work closely with:* + Sales leadership + Finance + Delivery teams + COO office to ensure **contracts reflect operational realities and commercial objectives**. **Key Deliverables*** + Reduced **deal cycle time during contracting** + Improved **risk visibility in large deals** + Standardized **contracting templates and negotiation playbooks** + Strong **legal support for enterprise sales pursuits** **Qualifications****Education*** + **LLB / LLM** from a recognized law school + Qualified to practice law in India **Experience*** + **3\-4 years of experience** in commercial contracting + Experience in **IT services, BPM, outsourcing, or consulting companies preferred** + Experience negotiating contracts with **US / UK clients is highly desirable** **Key Skills****Commercial Skills*** + Master Service Agreements + SOW structuring + Liability and indemnity negotiation + Contract risk assessment **Legal Knowledge*** + Data protection + Outsourcing regulations + Intellectual property protection + International commercial law basics **Business Skills*** + Ability to **balance legal protection with business practicality** + Strong stakeholder management + Negotiation and communication skills
