Job Description
We are seeking a junior Associate (1\-3 years) to join a
**corporate\-commercial**
and private M\&A law firm. This role is suited for a motivated and detail\-oriented lawyer with post\-call experience in corporate\-commercial law who thrives in a fast\-paced, transactional environment. The successful candidate will work on a variety of corporate, commercial, and M\&A matters while supporting senior lawyers and managing files independently.
**Responsibilities**
* Draft and review a range of commercial agreements, including shareholder agreements, loan agreements, master service agreements, distribution agreements, and terms and conditions
* Independently manage commercial transactions, including purchase and sale of businesses
* Prepare LOIs, APS, APAs, SPAs, and closing documentation
* Coordinate closing agendas and communications with all parties
* Conduct due diligence and review material contracts and franchise agreements
* Ensure satisfaction of all transaction conditions (e.g., landlord, franchisor requirements)
* Handle corporate financing matters on the borrower side
* Manage corporate law matters such as incorporations, amalgamations, amendments, dissolutions, revivals, and continuances
* Assist with tax\-driven reorganizations, including estate freezes and corporate rollovers/exchanges
* Maintain and organize legal files, track deadlines, and support administrative tasks
* Assist senior lawyers with ongoing corporate and transactional matters
* Contribute to other routine corporate\-commercial work as required
**Qualifications**
* Juris Doctor (JD) from an Ontario law school and membership in good standing with the Ontario Bar
* 1\-3 years of post\-call experience in corporate\-commercial law (articling experience excluded)
* Demonstrated experience in transactional and corporate matters; experience outside this practice area will not be considered
* Strong drafting, organizational, and communication skills
* Ability to manage multiple priorities and work independently under pressure
* High level of attention to detail and strong work ethic
* Proficiency with Microsoft Office (Word, Excel, Outlook) and legal software such as Teraview and Clio
* Self\-motivated with the ability to thrive in a remote work environment
* Experience with real estate transactions is considered an asset
