Urban Legal Recruitment is pleased to assist our valued client, Trans Mountain Corporation, in the search for an Assistant Corporate Secretary \& Legal Counsel to join their Calgary head office. This is an exclusive search being conducted by Urban Legal Recruitment.
Trans Mountain operates Canada’s only pipeline system transporting oil products to the West Coast, delivering approximately 890,000 barrels of petroleum products each day through a dual pipeline system spanning more than 1,150 kilometres across Alberta, British Columbia and Washington State.

**The Opportunity**
Reporting to the Assistant General Counsel, Capital Markets \& Corporate Secretary, the Assistant Corporate Secretary \& Legal Counsel will play a key role in supporting the organization’s corporate governance framework.
This position offers a unique opportunity to work closely with the Board of Directors, CEO and executive leadership, ensuring effective governance processes, timely communications and strong corporate oversight. The successful candidate will support the Corporate Secretary and execute delegated governance responsibilities with professionalism, discretion and precision.
This position will be based in Calgary and is an in\-office role.
**Key Responsibilities**
**Board \& Committee Support**
* Prepare materials for Board and Committee meetings including agendas, resolutions, minutes and briefing materials
* Assist with corporate and regulatory filings
**Meeting \& Governance Processes**
* Attend Board and Committee meetings and assist in preparing governance documentation
* Support the development and maintenance of Board and Committee charters, governance policies and position descriptions
**Confidential Communications**
* Manage sensitive communications with directors, executives and stakeholders with a high degree of discretion
**Governance Policy Development**
* Assist in drafting and reviewing governance documents, policies and related communications in collaboration with the Corporate Secretary and senior leadership
**Additional Responsibilities**
* Include supporting corporate transactions, maintaining corporate records, and assisting with strategic governance initiatives.
**Qualifications**
* 6\-10 years of corporate law practice experience. The ideal candidate will possess a blend of corporate commercial, M\&A, securities and corporate governance experience from a national or a highly reputable regional firm. Experience in both in\-house and private practice is highly regarded.
* LL.B. or J.D. from an accredited Canadian law school
* Member in good standing with the Law Society of Alberta or another Canadian provincial law society
* Demonstrated professionalism and discretion when working on Board and executive matters
* Exceptional written and verbal communication skills
* Ability to navigate Board dynamics and interact effectively with senior leadership
